Important Scope Clarification: Our services are consulting and execution-oriented. We do not guarantee specific outcomes such as a defined return on ad spend (ROAS), a particular number of leads, or a fixed conversion volume. Advertising results depend on numerous factors outside our control, including your product-market fit, pricing, competition, seasonality, website quality, and budget levels.
4Client Responsibilities & Access
To enable us to deliver effective services, clients agree to fulfill the following responsibilities:
4.1 Provision of Access
- Provide timely, secure access to advertising accounts (Google Ads, Meta Business Manager, LinkedIn Campaign Manager) at the correct permission levels (Admin access is required)
- Provide access to analytics properties (GA4), website CMS, and any tracking/code management platforms as needed during onboarding
- Respond promptly to requests for account access verification and two-factor authentication approvals
4.2 Communication & Decision Making
- Assign a primary point of contact who is authorized to make timely approvals on creative, budgets, targeting, and landing page changes
- Respond to proposals, feedback requests, and approval requests within 48 business hours; response delays may delay campaign launches and optimizations
- Provide clear, detailed information about your business goals, product/service offerings, target audience, and unique selling propositions
4.3 Content & Creative Assets
- Provide brand assets (logos, images, videos, fonts, brand guidelines) in usable digital formats
- Supply accurate product/service information, pricing details, promotional offers, and any compliance-required disclosures
- Review and approve final ad creative and content in accordance with your internal brand standards and legal compliance obligations
4.4 Financial Responsibility
- Ensure sufficient funds and valid billing methods are maintained on advertising platforms and with us for timely payments
- Understand that you are solely responsible for the advertising budget you allocate, including fees levied by the advertising platforms themselves
- Acknowledge that our fees do not include the advertising platform spend (the budget that goes directly to Google, Meta, LinkedIn, etc.), which is invoiced separately and billed directly by the platforms or passed through as applicable
Account Ownership: Unless otherwise mutually agreed in writing, all advertising accounts, assets, and pixels created during our engagement remain the property of the client and are operated on the client's behalf. Upon completion or termination of services, ownership and access to all created assets is transferred to the client in accordance with our exit process (typically within 10 business days).
5Intellectual Property Rights
5.1 Our Intellectual Property
All content on our website, including text, graphics, logos, images, page layouts, code, and marketing materials, is owned by BrandwithBhu1 or its licensors and is protected by Indian and international intellectual property laws. You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of our website or services without express written permission.
5.2 Proprietary Strategies & Methodologies
Our marketing strategies, proprietary frameworks, targeting methodologies, optimization techniques, analytical models, and campaign structures are the confidential, proprietary intellectual property of BrandwithBhu1. These are licensed to you solely for the duration of your service engagement.
5.3 Client Creative Deliverables
Ad creative, copy, and related deliverables created as part of our engagement are licensed to you for business use during and after the engagement. We reserve the right to display aggregate, anonymized campaign performance data and creative work in our portfolio, case studies, and marketing materials unless you specifically opt out in writing.
5.4 Third-Party Assets & Licenses
Where third-party assets (stock imagery, music, licensed fonts, or platform templates) are used in campaign deliverables, such assets remain subject to their respective third-party licenses. You are responsible for ensuring that any digital rights management or usage limitations are respected.
6Fees, Invoicing & Payments
6.1 Fee Structure
- Service Fees: Management fees are based on the agreed service plan and outlined in your engagement agreement or as described on our website at the time of engagement
- Ad Spend Budgets: Advertising budgets (amounts spent directly on platforms) are separate from management fees and are funded by the client through the platform billing or passed through as specified in the agreement
- Additional Services: Services outside the agreed scope, including rush revisions, supplementary audits, extra ad accounts, and additional landing page creation, may be billed at prevailing additional rates
- GST / Taxes: All applicable taxes, including GST and any applicable levies, are additional and payable by the client as required by Indian law
6.2 Invoicing Details
- Invoices are generated on or around the first of each calendar month
- Payment terms are net 7 days from the invoice date unless otherwise agreed in writing
- Late payments may accrue interest at a rate of 1.5% per month (18% per annum) on the outstanding balance
- We reserve the right to pause work, campaign optimizations, and reporting if an account becomes overdue by 10 or more days
6.3 Payment Methods
We accept payments via bank transfer (NEFT/IMPS/RTGS), UPI, and other payment methods as communicated. Details will be provided on your invoice.
Budget Transparency: We believe in full transparency. All campaign spend is visible directly in your advertising accounts and is reported in our monthly performance reports. There are no hidden charges.
7Refunds & Cancellation Policy
7.1 Cancellation of Monthly Services
- Clients may cancel monthly service engagements with 30 days' written notice by email to Brandwithbhu1@gmail.com
- Monthly fees are non-refundable once work has been performed for the invoice period (onboarding, strategy, campaign setup, optimization, and reporting are considered work performed)
- Unused prepaid periods, if applicable, will be refunded on a pro-rata basis after all outstanding amounts are settled
7.2 Refund Limitations
Because our services involve professional expertise, time, and strategic consulting that begins immediately upon engagement, we generally do not issue partial refunds. Exceptions may be made solely at our discretion in cases of billing errors or where we fail to deliver the agreed core deliverables.
7.3 Non-Refundable Items
- Ad spend budgets allocated on advertising platforms (these are governed by platform refund policies, not ours)
- Third-party tool subscriptions, software licenses, and platform fees procured on your behalf
- Completed onboarding packages, audits, and one-time deliverables
- Fees for services already rendered during the notice period
Chargeback Policy: If a chargeback is initiated on any payment, we reserve the right to suspend all active services immediately and terminate the engagement. Clients are encouraged to contact us directly to resolve any billing dispute before initiating a chargeback.
8Performance Expectations & No Guarantees
We approach every engagement with rigor, data-driven strategy, and a commitment to your growth. However, we operate in a dynamic advertising ecosystem governed by the rules of third-party platforms (Google, Meta, LinkedIn) and influenced by factors beyond our control.
8.1 What We Promise
- Professional ad account management by experienced paid media specialists
- Data-backed strategy development tailored to your business goals
- Regular optimization of campaigns based on performance data
- Transparent monthly reporting with clear performance metrics
- Proactive communication and responsive support during business hours
- Continuous testing of creative, audiences, and bidding strategies
8.2 What We Do Not Promise
- Specific ROAS, cost-per-lead (CPL), or conversion volume targets, unless expressly and contractually agreed in a separate written performance agreement
- Guaranteed ad approvals: platform content policies and review processes are outside our control, and ads may be rejected or paused by the platforms at any time
- Uninterrupted platform availability: ad delivery depends on third-party infrastructure (Google, Meta, LinkedIn) that we do not operate
- Specific audience reach or impression guarantees
8.3 Reporting & Communication
We provide monthly performance reports to your primary contact email, covering key metrics including impressions, clicks, CTR, CPC, conversions, CPA, CPL, ROAS, and budget utilization. Reporting may be delivered as written reports, dashboard access, or scheduled review calls as agreed in the engagement scope.
Realistic Growth: We focus on building profitable, scalable growth. Results typically improve over time as algorithms learn, data accumulates, and we refine targeting. Past performance of any campaign whether ours or a benchmark, never guarantees future results.
9Third-Party Platforms & Services
Our services rely on third-party platforms, including but not limited to, Google Ads, Google Analytics 4, Meta Ads Manager, LinkedIn Campaign Manager, and various analytics and automation tools. Please note that:
- You agree to comply with the terms of service and policies of all third-party platforms used in connection with our services
- We have no control over these platforms and are not responsible for their availability, functionality, policy changes, data practices, or pricing modifications
- Platform policy violations on your accounts (by you, your staff, or previous agencies) are your responsibility and may limit campaign outcomes
- We cannot guarantee that ad accounts will not be restricted, disabled, or suspended by platform-provided automation or policy reviews
- We act as a manager/administrator of your accounts, not as the owner; account ownership remains with you and your business entity
- Your relationship with each third-party platform is governed by that platform's own terms of service, which we encourage you to review
10Confidentiality
10.1 Definition of Confidential Information
